Effective 17 October 2026
1. Who we are and scope
Hexala Solutions Private Limited (CIN U62013TN2026PTC194889), Plot No. 2, Rajarajan Street, Ekkaduthangal, Chennai - 600032, Tamil Nadu, India, operates this corporate website. HealthPro Partners, ZoCure and ZoCure Business are brands operated by Hexala. They do not create separate contracting companies.
These Terms apply to the corporate website and, where separately presented and accepted, to the relevant Hexala product. HealthPro Partners, ZoCure and ZoCure Business are brands operated by Hexala Solutions Private Limited; use of a brand name does not create a separate legal entity or change the identity of the contracting company.
A reference to a provider category or capability does not mean that it is available in the current release. Only features actually enabled and expressly offered for your account form part of the service. Demonstrations and descriptions of possible future functionality are not promises of availability. Product specific terms and any signed business agreement must identify the applicable service and contracting parties.
This corporate website provides company, product, careers and contact information. It does not itself accept patient appointments, dispense medicines, provide treatment or take online payments. Clauses about product accounts, Providers and transactions apply only to the relevant service when actually offered and the applicable Terms are presented and accepted. Separate product privacy notices must describe that service before personal information is collected.
2. Acceptance and privacy choices
Where a product requires an account or transaction, the applicable Terms will be made available before acceptance and acceptance will be recorded. The Privacy Policy explains data handling; accepting these Terms is not blanket consent to every use of health information. Any legally required consent will be requested for the relevant purpose, and optional marketing consent will be separate. You may use an organisation's account only with authority to do so.
3. Emergency assistance
Hexala's corporate website and ordinary appointment, map, queue and check in tools are not an emergency response or dispatch service. They are not monitored as an emergency channel. In India, call 112 or seek immediate care at the nearest appropriate emergency facility. Do not wait for an app response, a queue position or a booking confirmation before seeking urgent help.
If an independent ambulance or emergency provider is separately identified, it remains responsible for its own clinical decisions, staffing, dispatch and transport. A listing or contact link does not guarantee that a request has been accepted, that a vehicle is available or that assistance will arrive within a particular time. This does not exclude any responsibility imposed on Hexala by law.
4. Hexala and independent Providers
Hexala supplies technology and administrative tools. The clinician or organisation identified for a healthcare service is the provider of that service (the Provider). Hexala does not become your treating clinician merely because the Provider uses ZoCure, ZoCure Business or HealthPro Partners EMR/EHR.
Doctors and other authorised clinicians are responsible for patient assessment, diagnosis, clinical advice, treatment decisions, informed clinical consent, prescriptions and follow up. Hospitals and clinics are responsible for their facilities, clinical staff, care delivery, patient safety procedures and the accuracy of information they supply.
Licensed pharmacies are responsible for prescription validation, lawful dispensing, medicine selection and permitted substitution, authenticity, expiry checks, storage and fulfilment under their control. A pharmacy must not fulfil an order that it cannot lawfully dispense.
Where separately offered, laboratories remain responsible for specimen collection and identification, testing methods, quality controls and reports. Licensed blood banks and the relevant treating facilities remain responsible for their respective collection, screening, storage, supply, compatibility testing and transfusion activities. Independent emergency providers remain responsible for their services as described in clause 3. These references do not announce the availability of those modules.
Providers retain independent professional judgment. A Provider is not authorised to bind Hexala or represent itself as Hexala's employee or agent merely by using our software or appearing in a directory. Any different relationship must be expressly disclosed and documented. Actual conduct and applicable law determine responsibility.
A listing, credential check, displayed rating or electronic document does not guarantee a clinical outcome. General website material is not personal medical advice. Nothing in this clause removes Hexala's own duties relating to its technology, representations, provider verification where required, complaint handling, privacy or security.
5. Eligibility and accounts
Product accounts are for adults aged 18 or over unless a specific lawful process is expressly offered. You may act for an organisation or another person only with valid authority. A caregiver is not automatically a lawful guardian. Any child or dependent profile requires the identity, authority and consent checks applicable to that service before it is enabled.
Staff dashboard access is private and managed by the website owner. Keep your sign in details confidential and use only your own account. Report suspected misuse to [email protected]. Responsibility for account activity is determined by the relevant facts and law; account misuse does not automatically make you responsible for a failure in Hexala security.
6. Accurate information
Provide accurate, current information that you are entitled to share. In a healthcare product, incomplete or incorrect health information may affect care. Tell the relevant Provider about corrections. Do not send patient records or unnecessary sensitive information through corporate enquiry or careers tools.
7. Release status and demonstrations
ZoCure version 1.1.1 is an early release with limited scope. Business and EMR/EHR screens on this corporate website use demonstration information. Features, integrations and deployment scope must be confirmed for the release concerned. A demonstration or roadmap is not a commitment that a capability is available. An early release does not remove applicable legal duties or mandatory remedies.
8. Provider accounts and professional duties
Each Provider must maintain the registrations, qualifications, licences and authorisations required for the services it actually offers, keep its profile accurate and notify Hexala promptly of any restriction, suspension, expiry or material safety concern. An organisation must ensure that its users are authorised and appropriately qualified for their assigned work.
The Provider is responsible for obtaining the clinical consents and data permissions required for its care activities, maintaining accurate records, following applicable professional and prescribing rules, and answering complaints about its care. Where telemedicine is offered, the Provider must comply with the applicable Telemedicine Practice Guidelines. Hexala must also meet any duties that apply to its own platform role.
Before signing, issuing or acting on an electronic prescription, visit note, referral or report, the responsible professional must check the patient identity, source information, content and clinical appropriateness. Software templates, calculations and draft suggestions do not replace professional judgment. No automated suggestion is a final clinical instruction without the review and authorisation required by law.
Providers must use appropriate access controls, keep their staff access current, report suspected misuse or safety incidents promptly and maintain suitable continuity arrangements during an outage. These duties do not transfer responsibility for a defect in Hexala's own service to the Provider.
Separate provider, subscription and data processing agreements must identify each party's responsibilities. They govern the relevant business relationship where expressly agreed, but cannot remove a patient's mandatory rights or Hexala's statutory duties.
9. Fees and payments
Website pricing describes the proposed commercial offering. Applicable scope, taxes, fees, billing arrangements and availability must be confirmed in the written offer or agreement before purchase. An enquiry or demonstration request does not create a subscription, investment commitment or employment offer.
Where a product enables paid transactions, the seller or service Provider, total charges, payment arrangements and cancellation and refund terms must be disclosed before confirmation. Provider fees are set by the identified Provider unless expressly stated otherwise. These corporate pages do not collect card details or process payments. Mandatory refund rights remain unaffected.
10. Pharmacy transactions where enabled
A medicine order may be placed only where that function is actually enabled and the supplying licensed pharmacy is identified. Any prescription requirement must be met before lawful dispensing. The supplying pharmacy is responsible for the dispensing and fulfilment activities within its control. Its identity, charges, delivery conditions and applicable cancellation or refund terms must be disclosed before the order is confirmed.
The respective roles of the seller, delivery provider, payment provider and Hexala must be stated accurately for the transaction. An electronic prescription or referral does not itself make Hexala the medicine seller. A technical, payment or referral role does not remove obligations imposed on Hexala by its actual activities or applicable law.
11. Acceptable use
Do not break the law, impersonate another person, use data without authority, introduce malware, access another account without permission, bypass access controls or overload the service. Do not harass others or publish knowingly false claims. Security testing requires appropriate authorisation. Nothing here prevents a lawful good faith complaint, legally protected activity or responsible reporting of a suspected vulnerability.
12. Your information and content
You retain your existing rights in information and files you provide. You permit Hexala to host, process and communicate them only as needed for the service you request, the disclosed purposes and applicable law. This permission does not replace any separate consent or authority required for health information. It does not authorise unrelated advertising, sale of personal data or unrestricted reuse of clinical records.
13. Intellectual property
Website software, branding, logos and original content belong to Hexala or its licensors. You may browse and evaluate the website for lawful purposes. You may not copy, redistribute or commercially exploit protected material without the relevant permission, except as allowed by law. Third party names and material remain subject to their owners rights.
14. Independent services
Independent services and linked websites are governed by their disclosed terms. Their operators are responsible for their own performance. Hexala remains responsible for obligations that apply to its own selection, integration, representations, handling of payments or processing of data. A link or integration alone does not guarantee an independent service or its outcome.
15. Availability and maintenance
We aim to keep the website available and information accurate. Interruptions, errors and maintenance may occur. We may restrict access where reasonably necessary for security, safety or legal compliance. Where a business service requires continuity or record access, the applicable agreement must specify responsibilities. Confirm material commercial and product information directly with us before relying on it.
16. Service limitations
Subject to applicable law and any express written commitment, Hexala does not guarantee uninterrupted availability, an error free system, a particular clinical outcome, a Provider's availability or the completeness of information supplied by others. Early release status does not remove any legal duty of care, security obligation, express promise or remedy that cannot lawfully be excluded.
17. Allocation and limits of liability
To the extent permitted by applicable law, Hexala is not liable for loss caused solely by an independent Provider's clinical negligence, dispensing error, inaccurate test result, deficient facility, transport failure or other act or omission for which that Provider is responsible. The existence of a listing, booking, electronic record, technology subscription or payment facilitation does not by itself transfer that responsibility to Hexala.
Where Hexala's own act, omission, service defect, misleading representation or breach of duty causes or contributes to a loss, responsibility will be determined under applicable law. This clause does not prevent a patient from bringing a lawful claim or obtaining a remedy against a responsible party.
To the extent lawfully excludable, Hexala does not accept liability for indirect or consequential commercial loss, including lost business opportunity or profit. A direct loss does not become indirect merely because a claim concerns healthcare, a data incident or an independent Provider.
Any negotiated financial cap for a paid business subscription must be expressly set out in the signed business agreement. No unfilled amount, implied zero cap or cap based only on a patient's payment to a Provider applies under these public Terms. Consumer claims and mandatory remedies remain governed by applicable law.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by Hexala's negligence, or any consumer, privacy, security or other obligation or liability that cannot lawfully be excluded or limited. Regulatory powers, legally required reporting and mandatory refunds remain unaffected.
18. Provider indemnity
The following obligation applies to a Provider only when incorporated into the business agreement it accepts with Hexala. To the extent permitted by law, the Provider will indemnify Hexala against reasonably incurred third party claims, damages and reasonable defence costs to the extent caused by the Provider's clinical negligence, unlawful dispensing or service delivery, licence breach, unlawful use or disclosure of patient information, or material breach of that agreement.
The indemnity does not cover loss to the extent caused by Hexala or another indemnified party. Hexala must give reasonably prompt notice, allow a reasonable opportunity to participate in the defence and cooperate at the Provider's reasonable expense. No settlement may admit fault for, impose an obligation on, or restrict the rights of the other party without its written consent, which must not be unreasonably withheld. No party may recover the same loss twice. This indemnity does not require reimbursement of a penalty where doing so would be unlawful.
Patients and caregivers are not required to indemnify Hexala for a Provider's mistake or for making a good faith complaint. Liability for a user's own unlawful conduct is determined under applicable law.
19. Suspension and closure
You may request closure of an applicable product account through the contact for that service. Corporate staff access is managed by the website owner. We may suspend or close access for a material breach, a safety or security risk, a legal requirement or another reasonable cause. We will provide notice and an opportunity to respond where appropriate and lawful. Closure does not remove mandatory refund, record access or privacy rights. Records required by law or a justified legal hold may be retained as explained in the relevant privacy notice.
20. Changes
We may update these Terms and will display the effective date. Material changes to an ongoing product agreement will be communicated with the notice and renewed acceptance required by applicable law or that agreement. A policy update does not itself authorise a new purpose for processing personal information or retrospectively remove an accrued right.
21. Governing law and complaints
These Terms are governed by Indian law. You may contact Hexala to seek resolution of a complaint, but doing so is not a condition for seeking urgent relief or using a statutory complaint mechanism. Courts in Chennai, Tamil Nadu will have jurisdiction where legally permissible. This does not displace any consumer commission, data protection authority, regulator or other competent forum available under mandatory law. Any arbitration arrangement must be separately and validly agreed and must not remove non waivable remedies.
22. Grievance Officer
Naveen Venkatesh is the Grievance Officer for this corporate website. Contact [email protected] with the subject Grievance, or call +91 9087074999. Postal correspondence may be sent to the registered office stated in clause 1.
We will acknowledge general complaints within 24 hours and ordinarily resolve them within 15 days. Shorter or otherwise mandatory deadlines applicable to a particular complaint take precedence. Reporting to us does not prevent you from contacting a competent regulator, consumer forum or court. Clinical complaints should also be raised with the responsible Provider; Hexala will address issues concerning its own service.
